A biotech company that has been working since 2017 to commercialize a product to develop viral-based vaccines engaged REDW to value an ownership interest in the company for estate tax planning purposes. REDW also determined the fair market value of a non-marketable, minority interest in the company.
REDW’s client entered into a letter-of-intent agreement regarding a contemplated acquisition of a division of a publicly traded conglomerate. REDW’s services included a capital structure optimization and a debt capacity study to assist management in making a more informed decision regarding deal structure.
REDW was engaged to perform the related purchase price allocations related to the acquisition of 193 in-home assisted living care franchises.
REDW’s client was considering investments in various eSports and online gambling start-up platforms. REDW served as a financial advisor in connection with these investments. Our services included reviewing, analyzing, and commenting on the offering memorandums and other investment offerings that identified anticipated returns on investments, risks, and forecasting assumptions.
REDW served as a financial advisor to a Global Fortune 100 Company in connection with its investment in an energy storage systems company for the aerospace, automotive, marine and defense industries. REDW’s services included analyzing quality of earnings & balance sheets and identifying pro forma and transaction considerations.
In connection with certain strategic planning, REDW’s client, a food processing company, issued warrants and profits interests related to its Class A Common Shares and Class B Common Shares, respectively. REDW was engaged to determine the fair values for these instruments for financial reporting purposes.
REDW served as a financial advisor to a Global Fortune 100 Company in connection with its investment in an alternative refueling infrastructure company for the automotive industry. REDW’s services included analyzing quality of earnings & balance sheets and identifying pro forma and transaction considerations.
REDW served as a financial advisor to a technologies solutions company in connection with a contemplated sale to a competitor. REDW services included a fair market value determination of the company’s equity, as well as a carve-out value of high probability wins of future contracts.
REDW was engaged by a Midwestern based private equity firm to perform the related purchase price allocations related to several of its portfolio company’s 2021 acquisitions.
REDW served as a financial advisor to our client in connection with their acquisition of a semi-conductor manufacturer. REDW’s services included analyzing quality of earnings & balance sheets, determining working capital targets, and identifying pro forma and transaction considerations.
Supporting Auditor's Financial Reporting Requirements
In the first quarter of 2023, REDW’s Business Valuation and Related Financial Services Group provided valuation consulting services relative to $850 million of acquisitions by four large private equity groups. REDW assisted these private equity groups and their respective portco’s management teams with valuation consulting services related to:
- Certain intangible assets / preparing opening balance sheets pursuant to ASC Topic 805
- Contingent considerations (earnouts and NOLs) pursuant to ASC Topic 820
- Equity compensation awards pursuant to ASC Topic 718-20
- Rollover equity
Our analyses and conclusions were ultimately used to support the portco’s management team and their auditor’s financial reporting requirements.
